A note is a building captured on paper. The real estate underneath it still determines what the holder recovers — but the buyer of a note is buying a contract, a position in the payment stream, and a set of options, not a deed. Why notes trade. The seller of a note — usually a lender, a servicer, or an estate — wants liquidity, not a building. The buyer purchases the right to collect, or to foreclose if collection fails, or to sell the situation to someone who will. Every note embeds a decision: collect, restructure, or take the dirt — and the price trades at embeds the market's guess about which decision the buyer will make.
The point that separates good note investors. The diligence is a property-level question. What is the building worth if the borrower does not pay? What does the collateral actually look like — condition, income, title position? Without the collateral answer, a note discounted to nothing can still be expensive. The best note investors underwrite the collateral first and the payment stream second.
BPOs are the bridge. A Broker Price Opinion is a broker's read on the collateral — income approach and comps, not a full appraisal — and it is the standard tool for estimating what taking the property back would yield. For a BPO to be useful it has to be current, honest about condition, and run against the same standard as a sale. A BPO built to support a number, rather than to test one, is worthless.
